Michael Stegawski, Esq.
Mr. Stegawski serves as Managing Director and is actively involved in all aspects of our group. Mr. Stegawski served in a variety of roles involving venture capital and private equity, private wealth management, and investment banking, in addition to his involvement in both legal transactional and litigation matters. Prior litigation experience has included civil and regulatory securities matters, shareholder common fund and derivative litigation, international transactions and asset tracing and recovery, trademark infringement, franchisor and franchisee disputes, and a variety of complex commercial litigation. Mr. Stegawski has also guided both private and public companies, including registered and exempted financial institutions, through matters such as corporate governance, financial reporting and disclosure, regulatory disciplinary proceedings and investigations, and the preparation of both private and public securities offering documentation. Michael is admitted to practice law in the States of Florida and Georgia and is admitted to appear before the United States District Courts for the Southern, Middle, and Northern Districts of Florida, Middle and Northern Districts of Georgia, District of Colorado, as well as the United States Courts of Appeal for the Eighth and Eleventh Judicial Circuits. Stegawski has also made special appearances in the United States District Courts for the District of Utah, District of South Dakota, and the Central District of California. Internationally, Mr. Stegawski is admitted to practice law as a solicitor in England and Wales (currently inactive). Michael received his bachelor’s degree in finance from Wake Forest University and juris doctorate from the Georgia State University College of Law.
Jose ‘Pepe’ Sosa, Esq.
Mr. Sosa serves as a litigation attorney with Convergent Litigation Associates and takes a lead representation role for clients in civil and regulatory matters. Mr. Sosa is a graduate of Harvard College, A.B. cum laude, and received his juris doctorate from Georgetown University in 1998. Pepe has a broad range of experience over his seventeen years’ experience as a litigator and such has included complex commercial trial and appellate litigation and arbitrations. Mr. Sosa is admitted to practice law in the State of Florida, the United States District Courts for the Southern and Middle Districts of Florida, as well as the United States Court of Appeals for the Eleventh Judicial Circuit. Pepe has also argued before the Florida Supreme Court and the Second, Third, Fourth, and Fifth District Courts of Appeal in Florida.
Erik P. Weingold, Esq.
Mr.Weingold serves as of counsel to the group and represents clients in transactional commercial and securities matters. Mr. Weingold began practicing law in 1995 and commenced his focus on corporate and securities law three years later. Since that time, Mr. Weingold has accumulated years of experience in guiding issuers through offerings exempt from the state and federal registration requirements and preparing private placement memoranda. Mr. Weingold’s experience includes advising private companies on federal securities laws and regulations and the associated disclosure requirements and then further on general commercial and corporate governance matters. Mr. Weingold has successfully shepherded numerous entrepreneurial ventures through the complexities in their capital raising efforts. His experience covers the representation of clients in a broad range of industries, including commercial and residential real estate, web-based services, online social media, and sustainable energy. Mr. Weingold is admitted to practice law in the States of New Jersey and New York. Mr. Weingold received his B.A. degree from Tulane University and his J.D. from the University of the Pacific, McGeorge School of Law, in Sacramento, California.
Franklin Green, Esq.
Mr. Green is a transactional advisor with our group and has experience advising and counseling public companies, private issuers, and intermediaries on federal securities laws and disclosure rules affecting capital-raising transactions, mergers and acquisitions, and corporate governance matters; including interpretive advice and guidance to issuers involved in the primary and secondary offerings of securities. Frank has also assisted emerging growth companies with respect to business planning, the structuring of private-equity and venture capital, and international business transactions. After leaving the U.S. Securities & Exchange Commission, Mr. Green practiced corporate and securities law in the Washington office of a top Amlaw 100 law firm and prior to that, an Amlaw 200 law firm. Mr. Green received a bachelor’s degree in political science from the University of Delaware, master’s degree in International Relations from the (SIS) School of International Service at American University and juris doctorate from American University’s Washington College of Law. He is a member of the District of Columbia bar and admitted to the District of Columbia Court of Appeals.
Matthew W. Treu, Esq.
Mr. Treu serves as of counsel for Convergent Litigation Associates and represents clients in civil litigation matters. Mr. Treu is a graduate of the University of Utah and received his juris doctorate from Gonzaga University in 2007. Mr. Treu’s eight years of litigation experience includes representing companies and individuals in a wide range of civil matters, including commercial law, corporate and partnership disputes, fraud claims, and employment issues. Mr. Treu is admitted to the State Bar of Nevada and the United States District Court for the District of Nevada.
